Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or the “Account Owner”) and REDYX TECHNOLOGIES CORP, a Delaware corporation (“REDYX,” “we,” “our,” or “us”), governing your access to and use of MeghaX, a product of REDYX TECHNOLOGIES CORP (the “Services”).
BY CLICKING “I AGREE,” REGISTERING FOR AN ACCOUNT, ACCESSING, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.
If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” refers to that entity.
1. Definitions
For purposes of these Terms, the following definitions apply:
- “Account” means the subscription account created to access and use the Services, associated with a specific organization.
- “Account Owner” means the legal entity that enters into these Terms with REDYX and owns the Account.
- “Admin” means a user authorized by the Account Owner to administer settings, permissions, users, and configurations within a company instance of the Services.
- “AI Features” means features of the Services that utilize artificial intelligence, machine learning, automated analysis, or algorithmic decision-support technologies, including AI-powered agents, analytics, and assistive tools.
- “Beta Features” means features, tools, modules, or functionality designated as beta, preview, pilot, experimental, or similar.
- “Company Administrator” means the individual who registers the Account on behalf of the Account Owner and is granted initial administrative privileges.
- “Customer Data” means all data, content, information, and materials submitted, uploaded, generated, or otherwise made available by or on behalf of the Account Owner or its users through the Services, including applicant, employee, customer, contractor, vendor, and business data.
- “External Users” means individuals who access limited portions of the Services without access to a company-specific instance, including job applicants, candidates, or other third parties accessing applicant portals, requisition views, scheduling features, or other externally available functionality.
- “Internal Users” means employees, contractors, or representatives of the Account Owner who are granted access to the Services.
- “Module” means a discrete functional component of the Services, whether pre-built by REDYX, configured by the Account Owner using the platform's module-building tools, or developed as a custom engagement. Modules may include, without limitation, applicant tracking, customer relationship management, human resource management, contract management, time tracking, invoicing, and any modules created through the platform's Custom Module Builder.
- “Module Library” means the collection of all available Modules within the Services, including pre-built Modules provided by REDYX and custom Modules created by or on behalf of the Account Owner.
- “Professional Services” means company setup, configuration, implementation assistance, consulting, or custom development services provided by REDYX.
- “REDYX TECHNOLOGIES CORP” means REDYX TECHNOLOGIES CORP, including its current and future subsidiaries and affiliates.
- “MeghaX” means the business operating platform offered by REDYX under the MeghaX brand.
- “Services” means the MeghaX platform, including all Modules, the Module Library, AI Features, the Custom Module Builder, integrations, websites, applications, and related services.
- “Third-Party Services” means third-party platforms, software, services, or integrations that interoperate with the Services but are not owned or controlled by REDYX.

Affiliates & Subsidiaries — These Terms will apply to REDYX TECHNOLOGIES CORP and all current and future subsidiaries and affiliates.
3. Scope of Services
3.1 Description of Services
MeghaX is a cloud-based, AI-powered business operating platform built on an extensible Module Library architecture. The platform provides pre-built Modules for common business functions, a Custom Module Builder that enables Account Owners to create their own Modules, and an AI intelligence layer that operates across all Modules (collectively, the “Services”). The Services are provided by REDYX TECHNOLOGIES CORP under the brand name MeghaX.
3.2 Module Library and Platform Modules
The Services are organized around a Module Library that may include pre-built Modules, customer-configured Modules, and custom-developed Modules. Pre-built Modules available at any given time may include, without limitation, functionality for applicant tracking, customer relationship management, human resource management, contract and agreement management, time tracking, invoicing, and reporting and analytics. REDYX may add, modify, enhance, replace, or discontinue any Module or functionality at its discretion. The current list of available Modules is maintained on the MeghaX website or within the Services.
3.3 Custom Module Builder
The Services include a Custom Module Builder that enables Account Owners to create custom Modules tailored to their business needs. Custom Modules created through the Custom Module Builder support cross-module data relationships, formula fields, conditional logic, and other platform capabilities. Custom Modules are treated as first-class components of the platform and are subject to the same terms, conditions, and protections as pre-built Modules.
3.4 Artificial Intelligence Features
Certain features of the Services utilize artificial intelligence, machine learning, or automated decision-support technologies (“AI Features”). AI Features are designed to assist users in analyzing data, generating insights, automating workflows, and providing operational and strategic guidance. AI Features may include, without limitation, AI-powered analytics, automated candidate evaluation, resume analysis, business intelligence agents, and other assistive tools. Outputs generated by AI Features may be probabilistic, incomplete, or inaccurate. Users remain solely responsible for reviewing, validating, and determining the appropriateness of any AI-generated output before relying on it for business, legal, financial, employment, or operational decisions.
3.5 Custom Modules and Professional Services
REDYX may, at the customer's request, provide configuration services, implementation assistance, or development of custom Modules. Unless otherwise agreed in writing, such services are provided on a commercial best-effort basis and do not alter the standard nature of the Services or the applicability of these Terms.
3.6 Platform Availability
The Services are currently offered through a web-based platform. REDYX may, in the future, offer mobile applications or additional access methods. Any such offerings, when made available, shall be considered part of the Services and governed by these Terms unless otherwise stated.
3.7 Beta and Experimental Features
From time to time, REDYX may offer features, tools, Modules, or functionality designated as beta, pilot, preview, or experimental (“Beta Features”). Beta Features are provided for evaluation purposes only, may be modified or discontinued at any time without notice, and may not be as reliable, secure, or available as generally released features. REDYX disclaims all warranties related to Beta Features to the maximum extent permitted by law.
4. Accounts, Users & Access
4.1 Account Registration and Ownership
The individual who registers for the Services on behalf of an organization shall be designated as the Company Administrator. The organization represented by the Company Administrator shall be the account owner (the “Account Owner”) for all purposes under these Terms. The Company Administrator represents and warrants that they have full authority to bind the Account Owner to these Terms.
4.2 Administrative Control and User Roles
Each Account Owner may designate one or more administrative users (“Admins”) within its company instance. Admins are authorized to manage users, roles, permissions, configurations, and data access within that company's instance of the Services. The Account Owner is solely responsible for all actions taken by its Admins and users within its instance.
4.3 Internal Users
Employees or contractors granted access by the Account Owner (“Internal Users”) may use the Services only as permitted by the roles and permissions assigned to them by an Admin. Internal Users may not modify system-level configurations or access data outside the scope authorized by the Account Owner.
4.4 External and Limited-Access Users
Certain features of the Services, including but not limited to the global job board, requisition views, applicant portals, and interview scheduling functionality, may be accessed by users who do not have access to a company-specific instance of the Services (“External Users”). External Users may include job applicants, candidates, and client-side stakeholders participating in the hiring process. Access for External Users is limited to the specific functionality made available to them and does not grant administrative or system-level rights.
4.5 Responsibility for External Access
The Account Owner acknowledges and agrees that it is responsible for the configuration and use of applicant-facing and requisition-related features within its instance of the Services, including permissions, scheduling availability, and communications sent to External Users. REDYX does not control and is not responsible for interactions between Account Owners and External Users.
4.6 Account Security and Credentials
Each user is responsible for maintaining the confidentiality of their login credentials. Account sharing is strictly prohibited. The Account Owner is responsible for ensuring that all users comply with these Terms and must promptly notify REDYX of any unauthorized access or suspected security breach.
4.7 Eligibility
The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is higher. By using the Services, each user represents and warrants that they meet this requirement.
5. Billing, Pricing & Payments
5.1 Subscription Plans
MeghaX offers subscription-based access to the Services under designated plans. Available plans, pricing, minimum user requirements, and plan features are published on the MeghaX website or communicated through an applicable order form or service agreement. REDYX reserves the right to modify pricing and plan structures with reasonable notice to the Account Owner.
5.2 User-Based Pricing
Pricing is assessed on a per-user basis according to role and plan tier. Administrative users may be billed at a different rate than non-administrative users due to elevated access and control privileges. The Account Owner is responsible for all fees associated with users provisioned within its instance.
5.3 Artificial Intelligence Credits
AI-powered features are billed on a usage-based, postpaid model. AI credits are calculated based on actual consumption during each billing cycle and invoiced at the end of the applicable billing period. AI credits do not roll over, do not carry forward, and have no cash value. Failure to pay AI usage charges may result in suspension of AI-related features.
5.4 Professional Services and Custom Development
Company setup services, implementation assistance, and custom Module development are offered on a separate, scope-based basis. Pricing for such services is determined by REDYX based on the level of effort, complexity, and requirements agreed upon in writing. Fees for professional services are non-refundable unless otherwise expressly stated.
5.5 Free Trial
REDYX may offer a free trial period. Free trials are provided for evaluation purposes only and may be modified, limited, or terminated at any time. Upon expiration of the trial, continued use of the Services requires conversion to a paid subscription. The duration and terms of free trials are published on the MeghaX website or communicated at the time of registration.
5.6 Invoicing and Payment Terms
Subscription fees and AI usage charges are billed in advance or in arrears, as applicable, in accordance with the selected plan and usage. All payments are due in accordance with the invoice terms provided. Fees are exclusive of taxes, levies, or duties imposed by taxing authorities, which remain the responsibility of the Account Owner.
5.7 Refunds
Except where required by law, all fees are non-refundable. Where refunds are permitted, they may be issued at REDYX's sole discretion on a partial or prorated basis. Refunds, if any, will not include fees for AI usage, professional services, or custom development.
5.8 Late Payments and Grace Period
In the event of non-payment, REDYX may provide a grace period of up to seven (7) days following the payment due date. After the grace period expires, REDYX may restrict access to the Services, including placing the account in a limited or read-only state. If payment remains outstanding for thirty (30) days or more, REDYX reserves the right to suspend or terminate the Account and delete associated data in accordance with these Terms.
6. Data Ownership, Use & Privacy
6.1 Customer Data Ownership
As between the parties, the Account Owner retains all right, title, and interest in and to all data, content, information, and materials submitted, uploaded, generated, or otherwise made available through the Services (“Customer Data”). REDYX does not claim ownership of Customer Data.
6.2 License to Process Customer Data
The Account Owner grants REDYX a limited, non-exclusive, worldwide license to host, store, process, analyze, transmit, and otherwise use Customer Data solely as necessary to provide, maintain, support, and improve the Services, including the operation of AI Features.
6.3 Aggregated and Anonymized Data
REDYX may generate and use aggregated, anonymized, or de-identified data derived from Customer Data for analytics, benchmarking, product improvement, and development of AI Features, provided such data does not identify the Account Owner, its users, or any individual.
6.4 Artificial Intelligence Outputs
Outputs generated by AI Features, including analytics, recommendations, strategic guidance, candidate evaluations, and other assistive content, are provided for informational and assistive purposes only. The Account Owner and its users remain solely responsible for reviewing, validating, and determining the appropriateness of any AI-generated output prior to use.
6.5 Data Export
The Account Owner may export Customer Data at any time during the term of the subscription using the functionality made available within the Services or through reasonable assistance from REDYX.
6.6 Data Retention and Deletion
Upon termination or expiration of an Account, REDYX will retain Customer Data for a period of up to thirty (30) days to allow for data export or account reactivation. After such period, Customer Data will be permanently deleted from REDYX's systems, except as required by law or for legitimate archival, audit, or compliance purposes. Certain categories of data, such as employee records, contract documents, or financial records, may be subject to longer retention periods as required by applicable law.
6.7 Privacy
REDYX's collection and use of personal data is governed by its Privacy Policy, which is incorporated into these Terms by reference.
6.8 Data Processing Agreements
Account Owners that require a Data Processing Agreement (“DPA”) in connection with applicable data protection laws may request one by contacting REDYX using the contact details in Section 22.
7. Artificial Intelligence Services
7.1 Artificial Intelligence Features
Certain components of the Services incorporate artificial intelligence, machine learning, or automated analysis technologies (“AI Features”). AI Features may analyze Customer Data, generate insights, recommendations, summaries, classifications, predictions, strategic guidance, or other outputs intended to assist users in decision-making, workflow automation, and business operations.
7.2 AI Agents and Advisory Features
The Services may include AI-powered agents or advisory features that provide operational, strategic, financial, or managerial insights based on data within the platform. These agents are assistive tools designed to surface information and recommendations. They do not make decisions on behalf of the Account Owner, and their outputs do not constitute professional advice of any kind, including legal, financial, tax, or employment advice.
7.3 No Guarantee of Accuracy
AI Features are inherently probabilistic and may produce outputs that are incomplete, inaccurate, misleading, or inappropriate for a particular use case. REDYX does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated output. All AI-generated outputs are provided on an “as-is” and “as-available” basis.
7.4 Customer Responsibility
The Account Owner and its users acknowledge and agree that they are solely responsible for:
- Reviewing and validating AI-generated outputs
- Making all business, employment, financial, compliance, and operational decisions
- Ensuring compliance with applicable laws, regulations, and internal policies
AI Features are not a substitute for professional judgment, legal advice, human resources expertise, financial review, or regulatory compliance.
7.5 AI-Assisted Hiring and Candidate Evaluation
Certain AI Features within the Services may assist with candidate screening, resume analysis, interview evaluation, scoring, or ranking. The Account Owner acknowledges and agrees that: (a) all AI-assisted hiring outputs are recommendations only and must be reviewed by qualified human decision-makers before any employment action is taken; (b) the Account Owner is solely responsible for ensuring that its use of AI-assisted hiring features complies with all applicable federal, state, and local employment laws, including equal opportunity, anti-discrimination, and AI-in-hiring regulations; and (c) REDYX does not guarantee that AI-assisted hiring features comply with jurisdiction-specific requirements, including but not limited to bias audit, notice, or consent obligations.
7.6 Restricted Reliance
AI-generated outputs shall not be relied upon as the sole basis for decisions involving employment actions, hiring or rejection of candidates, compensation, termination, legal compliance, financial reporting, strategic direction, or other high-risk determinations.
7.7 AI Training and Optimization
Subject to Section 6, REDYX may use aggregated, anonymized, or de-identified data derived from Customer Data to improve, train, and optimize its AI Features. Customers may request to opt out of such use by providing written notice to REDYX.
7.8 Regulatory Disclaimer
REDYX does not represent or warrant that AI Features comply with industry-specific regulations applicable to the Account Owner, including but not limited to employment, labor, tax, healthcare, financial, or data protection regulations. The Account Owner is solely responsible for determining whether use of the Services complies with applicable laws.
7.9 Indemnification Related to AI Use
The Account Owner agrees to indemnify, defend, and hold harmless REDYX from any claims, damages, liabilities, losses, or expenses arising from or related to the Account Owner's reliance on AI-generated outputs, use of AI Features, or decisions made based on such outputs.
8. Termination & Suspension
8.1 Termination by Account Owner
The Account Owner may terminate its subscription at any time by providing notice through the Services or by contacting REDYX at the designated support email. Termination will be effective at the end of the then-current billing period unless otherwise specified. Fees paid are non-refundable except as expressly provided in these Terms.
8.2 Termination or Suspension by REDYX
REDYX reserves the right to suspend or terminate access to the Services, in whole or in part, under the following circumstances:
- Failure to pay applicable fees in accordance with Section 5
- Violation of these Terms or applicable law
- Use of the Services in a manner that poses a security risk, legal risk, or operational risk to REDYX or other customers
- Suspected fraudulent, abusive, or unauthorized activity
Suspension may include restricted or read-only access prior to termination, where commercially reasonable.
8.3 Effect of Non-Payment
In cases of non-payment, REDYX may provide a seven (7) day grace period. After expiration of the grace period, REDYX may limit access to the Services. If payment remains outstanding for thirty (30) days or more, REDYX may terminate the Account in accordance with these Terms.
8.4 Effect of Termination
Upon termination or expiration of an Account:
- All rights to access and use the Services will immediately cease
- The Account Owner remains responsible for all outstanding fees
- Customer Data will be retained and deleted in accordance with Section 6
Sections which by their nature should survive termination, including but not limited to data rights, intellectual property, disclaimers, limitation of liability, and indemnification, shall survive termination.
8.5 Service Modifications and Availability
REDYX may modify, enhance, replace, suspend, or discontinue any portion of the Services at its discretion, including features, Modules, or integrations. REDYX does not guarantee uninterrupted availability of the Services and shall not be liable for downtime, maintenance interruptions, or service modifications.
8.6 Beta and Experimental Features
Beta or experimental features may be discontinued at any time without notice and may not be supported. REDYX shall have no liability arising from the suspension or discontinuation of Beta Features.
9. Acceptable Use & Prohibited Activities
9.1 Acceptable Use
The Services may be used solely for lawful business purposes in accordance with these Terms. The Account Owner is responsible for ensuring that all users, including Admins, Internal Users, and External Users, comply with these Terms and applicable laws when accessing or using the Services.
9.2 Prohibited Activities
Users may not, directly or indirectly:
- Access or use the Services for any unlawful, fraudulent, deceptive, or malicious purpose
- Share accounts, credentials, or authentication information with any other person
- Circumvent, disable, or interfere with security-related features or access controls
- Reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or models underlying the Services or AI Features
- Scrape, harvest, mine, or extract data from the Services except through explicitly authorized functionality or APIs
- Use automated systems, bots, crawlers, or scripts to access the Services in a manner that degrades performance or bypasses limitations
- Upload, transmit, or introduce malware, viruses, or other harmful code
- Interfere with or disrupt the integrity, performance, or availability of the Services
- Access data or systems outside the scope of permissions assigned to the user
9.3 ATS and Applicant Data Restrictions
With respect to applicant tracking, recruitment, and hiring functionality, users may not:
- Use applicant data for purposes unrelated to legitimate recruitment or employment evaluation
- Sell, license, or disclose applicant data to unauthorized third parties
- Discriminate against applicants in violation of applicable employment or labor laws
- Use AI Features in a manner that violates applicable employment, equal opportunity, or data protection regulations
9.4 External User Conduct
External Users accessing applicant portals, requisition views, or scheduling features may use the Services only for their intended purpose. REDYX reserves the right to restrict or revoke access for External Users who violate these Terms or engage in abusive or inappropriate conduct.
9.5 Monitoring and Enforcement
REDYX may monitor usage of the Services to ensure compliance with these Terms, maintain security, and improve performance. REDYX reserves the right to investigate suspected violations and to suspend or terminate access where appropriate.
9.6 No Circumvention of Commercial Terms
Users may not attempt to bypass user limits, pricing tiers, AI usage controls, or billing mechanisms. Any such attempt constitutes a material breach of these Terms.
10. Intellectual Property Rights
10.1 Ownership of Intellectual Property
All rights, title, and interest in and to the Services, including the MeghaX platform, software, architecture, workflows, artificial intelligence models, algorithms, designs, interfaces, documentation, trademarks, logos, and all related intellectual property rights, are and shall remain the exclusive property of REDYX TECHNOLOGIES CORP and/or its licensors. MeghaX is a product and trade name of REDYX TECHNOLOGIES CORP. No rights are granted except as expressly set forth in these Terms.
10.2 License to Use the Services
Subject to compliance with these Terms, REDYX TECHNOLOGIES CORP grants the Account Owner a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for its internal business purposes during the applicable subscription term.
10.3 Custom Modules and Professional Services
Unless otherwise expressly agreed in writing, any configurations, custom Modules, enhancements, integrations, or development work provided by REDYX TECHNOLOGIES CORP, whether paid or unpaid, shall be considered part of the Services and shall remain the intellectual property of REDYX TECHNOLOGIES CORP. The Account Owner is granted a limited license to use such custom work solely in connection with its authorized use of the Services.
10.4 Customer Data
Except for the limited license granted under Section 6, nothing in these Terms transfers ownership of Customer Data or customer-owned content to REDYX TECHNOLOGIES CORP.
10.5 Feedback
If the Account Owner or any user provides suggestions, feedback, ideas, or recommendations regarding the Services (“Feedback”), such Feedback is provided voluntarily and without restriction. REDYX TECHNOLOGIES CORP may use, implement, and incorporate Feedback without obligation, attribution, or compensation, and shall own all rights in any resulting improvements or developments.
10.6 Restrictions
The Account Owner and its users may not copy, modify, distribute, sell, sublicense, rent, lease, reverse engineer, or create derivative works of the Services except as expressly permitted under these Terms. Any unauthorized use constitutes a material breach.
11. Third-Party Services and Integrations
11.1 Third-Party Services
The Services may integrate with, link to, or otherwise interoperate with third-party products, services, platforms, or content (“Third-Party Services”), including but not limited to email providers, calendar services, job boards, payment processors, accounting platforms, communication tools, financial services, and external data sources.
11.2 No Control or Responsibility
Third-Party Services are not owned or controlled by REDYX TECHNOLOGIES CORP. REDYX TECHNOLOGIES CORP does not endorse, warrant, or assume responsibility for any Third-Party Services, including their availability, security, functionality, accuracy, or compliance with applicable laws.
11.3 Third-Party Terms
Use of Third-Party Services is subject to the terms and conditions and privacy policies of the applicable third-party provider. The Account Owner is solely responsible for reviewing and complying with such terms. REDYX TECHNOLOGIES CORP is not a party to any agreement between the Account Owner and a third-party provider.
11.4 Data Sharing with Third Parties
The Account Owner acknowledges and agrees that, by enabling or using Third-Party Services, certain Customer Data may be transmitted to or accessed by such third parties. REDYX TECHNOLOGIES CORP is not responsible for the handling, processing, or protection of Customer Data by Third-Party Services.
11.5 Payment Processing
Certain features of the Services may enable the Account Owner to process payments, collect funds, or manage financial transactions through third-party payment processors. REDYX is not a payment processor and does not hold, transmit, or control funds on behalf of the Account Owner or its customers. All payment processing is subject to the terms, conditions, and policies of the applicable third-party payment processor. The Account Owner is solely responsible for compliance with applicable payment, tax, and financial regulations.
11.6 Financial and Accounting Integrations
The Services may integrate with third-party accounting or financial platforms for purposes such as invoice synchronization, reconciliation, and financial reporting. Such third-party platforms serve as the system of record for accounting and financial data. REDYX does not provide accounting services and is not responsible for the accuracy or completeness of data maintained in third-party financial systems.
11.7 Service Availability
REDYX TECHNOLOGIES CORP shall not be liable for any downtime, errors, interruptions, or failures caused by or attributable to Third-Party Services, including integrations that become unavailable, are modified, or are discontinued by the third-party provider.
11.8 Optional Integrations
REDYX TECHNOLOGIES CORP reserves the right to add, modify, or remove Third-Party Services integrations at its discretion without obligation to continue support for any specific integration.
12. Confidentiality
12.1 Confidential Information
“Confidential Information” means any non-public, proprietary, or confidential information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether disclosed orally, visually, electronically, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation:
- Business, technical, financial, and operational information
- Customer Data and applicant data
- Product plans, designs, software, algorithms, AI models, workflows, and system architecture
- Trade secrets and proprietary methodologies
12.2 Obligations of Confidentiality
The Receiving Party shall:
- Use Confidential Information solely for purposes permitted under these Terms
- Not disclose Confidential Information to any third party except as expressly permitted
- Protect Confidential Information using reasonable safeguards at least as protective as those used to protect its own confidential information
12.3 Permitted Disclosures
Confidential Information may be disclosed:
- To employees, contractors, or agents who have a legitimate need to know and are bound by confidentiality obligations
- As required by law, regulation, or court order, provided the Receiving Party gives prompt notice where legally permitted
12.4 Exclusions
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the Receiving Party
- Was lawfully known to the Receiving Party prior to disclosure
- Is independently developed without use of Confidential Information

12.5 Customer Data
Customer Data shall be treated as Confidential Information of the Account Owner and handled in accordance with Section 6 of these Terms.
12.6 Duration
Confidentiality obligations shall survive termination or expiration of these Terms for as long as the information remains confidential.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDYX TECHNOLOGIES CORP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
REDYX TECHNOLOGIES CORP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REDYX TECHNOLOGIES CORP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF REDYX TECHNOLOGIES CORP ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL FEES PAID BY THE ACCOUNT OWNER TO REDYX TECHNOLOGIES CORP DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
The Account Owner agrees to indemnify, defend, and hold harmless REDYX TECHNOLOGIES CORP and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, and expenses arising out of or related to:
- Use or misuse of the Services
- Violation of these Terms
- Violation of applicable laws or regulations
- Customer Data, including applicant and employee data
- Reliance on AI-generated outputs, including AI-assisted hiring evaluations and strategic recommendations
16. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, except where prohibited by law. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association.
The parties waive any right to participate in a class action, class arbitration, or representative proceeding.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
18. No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the parties. Users of the Services are not employees or agents of REDYX TECHNOLOGIES CORP.
19. Assignment
The Account Owner may not assign or transfer these Terms without prior written consent. REDYX TECHNOLOGIES CORP may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
20. Changes to Terms or Services
REDYX TECHNOLOGIES CORP may modify these Terms or the Services from time to time. Material changes will be communicated via reasonable means. Continued use of the Services after changes become effective constitutes acceptance.
21. Electronic Communications
The Account Owner consents to receive all communications electronically, including notices, agreements, and disclosures, via email or through the Services.
